Responsibilities
Client Responsibilities
You confirm that you have the authority to enter into a contract on behalf of yourself, your company, or your organisation. You agree to provide the assets and information required to complete the project promptly and in the requested formats. You will review our work and provide feedback or approvals in a timely manner. Deadlines are mutual commitments, and you agree to meet the timelines and payment schedule outlined.
Our Responsibilities
We will carry out our work with the expertise and professionalism that you expect. We will endeavour to meet the agreed deadlines and maintain the confidentiality of any information you provide to us.
Project Details
Design
Our approach to design includes creating adaptable layouts that work across various devices and screen sizes. We typically use HTML and CSS, preferring to work iteratively rather than creating static visual templates for every page. Where appropriate, we may provide visual elements to indicate the creative direction, which we refer to as the project’s “atmosphere.”
You will have opportunities to review our progress through regular updates, shared folders (such as Dropbox or Google Drive), or a development site. If, at any point, you wish to change the scope of work, you will be responsible for any work completed up to that point, and the contract may be terminated upon payment.
Content Creation
Unless otherwise agreed, we will create all the pages of your website as part of the project. You are responsible for providing the content, including text and images, for these pages. We also offer professional copywriting and editing services, which can be arranged for an additional fee.
Proofreading
While we take care to ensure all deliverables are free from errors, the final responsibility for proofreading and approving content rests with you.
Graphics and Photography
You are expected to supply graphic files in an editable vector format and photographs in a high-resolution digital format. If you need stock photography, we can recommend libraries or assist in sourcing images for an additional fee.
Technical Development
HTML, CSS, and JavaScript
We develop web pages using HTML, CSS, and JavaScript, ensuring that the code is clean, efficient, and in line with best practices.
Browser Testing
Our browser testing ensures that your website functions as intended across current versions of major desktop browsers (e.g., Safari, Chrome, Edge, Firefox, and Opera). We do not guarantee identical appearance across all browsers but ensure an appropriate user experience. Older browsers can be tested for an additional fee.
Mobile Browser Testing
We test our designs on popular mobile devices using iOS (Safari, Chrome) and Android (Chrome) browsers. Testing on other devices or browsers can be arranged at an additional cost.
Hosting and Technical Support
We prefer hosting your website on our servers, which includes one year of hosting, with renewal options thereafter. This includes maintenance, updates, and backups, and we strive to ensure maximum uptime. However, we are not liable for any potential losses due to server issues. If you choose to host elsewhere, we will assist with setup for an agreed fee, but future maintenance will be your responsibility.
We review server usage annually and reserve the right to adjust hosting fees based on bandwidth or disk space usage.
Search Engine Optimisation (SEO)
While we ensure that the web pages we develop are accessible to search engines, we do not guarantee improvements in search engine rankings.
Changes and Revisions
We understand that requirements may evolve. The initial cost is based on our estimation of the work required. Should additional changes be requested, we will provide an estimate for the extra work involved.
Legal Considerations
We will perform our services in line with industry standards. However, we do not guarantee that the work will be error-free, and we are not liable for damages such as lost profits or other consequential losses. Your liability will be limited to the fees payable under this contract.
If any part of this contract is deemed unlawful or unenforceable, the remainder will continue in effect.
Intellectual Property Rights
You confirm that you own or have permission to use any elements you provide, including text, images, or other artwork, and you agree to protect us from any third-party claims. Similarly, we guarantee that any elements we provide are either owned by us or licensed for your use.
Upon full payment, we will assign the intellectual property rights for the deliverables to you. However, any pre-existing intellectual property or elements created outside the scope of this project remain our property, licensed to you for use solely within this project.
Promotion of Our Work
We may showcase our work for you as part of our portfolio, including sketches, drafts, and the final project. We will also include a link to our site in the footer of your website.
Payments
Timely payment is critical to our business. Deposit payments are non-refundable, and we reserve the right to suspend services in the event of non-payment. Services may be terminated if payments are overdue by 90 days, and we will take steps to recover outstanding fees. If all payment obligations are met and you decide to transfer your site to another provider, we will assist with the transfer for a reasonable administrative fee.
Final Notes
This contract is non-transferable without mutual consent, and both parties agree to comply with all applicable laws and regulations. The contract remains in effect until terminated and is governed by the laws of England and Wales.
Although the language used in this contract is straightforward, the intentions are serious, and the contract is a legal document under the exclusive jurisdiction of English and Welsh courts.
